Terms of Service

1. Agreement

By accessing or using any service provided by Emerson North LLC ("Emerson North," "we," "us"), you agree to these Terms of Service. If you do not agree, do not use our services.

2. Services

Emerson North provides marketing, content, and growth services to small businesses on a subscription or project basis. The specific scope of services is defined in your service agreement or onboarding documentation.

3. Client responsibilities

You are responsible for providing accurate information during onboarding, maintaining the confidentiality of your account credentials, and ensuring you have the rights to any content, logos, or materials you provide to us.

4. Payment

Fees are billed according to your service agreement. All payments are processed securely via Stripe. Failure to pay may result in suspension of services. Refunds are handled on a case-by-case basis at our discretion.

5. Intellectual property

Content we create on your behalf becomes your property upon full payment. Our systems, tools, workflows, and processes remain the property of Emerson North. You may not reverse-engineer or resell our platform or methods.

6. Third-party integrations

Our services integrate with third-party platforms including Google, Stripe, and others. Your use of those platforms is governed by their own terms of service. We are not responsible for changes, outages, or policy updates from those providers.

7. Limitation of liability

Emerson North is not liable for indirect, incidental, or consequential damages arising from your use of our services. Our total liability for any claim is limited to the fees you paid in the 30 days preceding the claim.

8. Termination

Either party may terminate services with 30 days written notice. We may terminate immediately for violation of these terms, non-payment, or conduct that harms our platform or other clients.

9. Governing law

These terms are governed by the laws of the State of Georgia. Any disputes shall be resolved in the courts of Georgia.

10. Changes

We may update these terms at any time. Continued use of our services after changes constitutes acceptance of the updated terms.
